bCommerce End User License Agreement

(EULA)

This End User License Agreement (“Agreement”) is entered into between bInternational, Inc.,

d/b/a bCommerce (“bCommerce,” “we,” “us,” or “our”) and the individual or entity

(“Customer,” “you,” or “your”) accessing or using the bCommerce platform, applications, and

services.

By accessing, installing, or using bCommerce, you agree to be bound by this Agreement.

1. Definitions

“bCommerce” means the proprietary eCommerce, marketplace, fulfillment, financial, and

operations platform operated by bInternational, Inc.

“bPayments” means bCommerce’s integrated payment processing platform.

“3BL” or “bShip” means bCommerce’s integrated shipping, fulfillment, and logistics platform.

“Freedom 18” means bCommerce’s promotional program that provides up to eighteen (18)

months of software access subject to performance requirements.

2. License Grant

bCommerce grants you a non-exclusive, non-transferable, revocable, limited license to access

and use the bCommerce platform solely for your internal business operations.

You do not acquire ownership of any part of bCommerce.

3. Mandatory Platform Integration

3.1 Payment Processing Requirement

All transactions processed through bCommerce-hosted stores, marketplaces, or checkouts must use bPayments.

You may not connect or route orders through third-party payment processors (including but not

limited to Stripe, PayPal, Square, Shopify Payments, or Authorize.net) unless explicitly approved

in writing by bCommerce.

By using bCommerce, you authorize bPayments to:

  • Process transactions

  • Settle funds

  • Deduct fees

  • Apply reserves, chargebacks, or risk holds

in accordance with bPayments’ policies.

3.2 Shipping & Fulfillment Requirement

All orders created, imported, or processed inside bCommerce must use bCommerce’s

integrated shipping and logistics system (3BL / bShip) unless bCommerce approves otherwise

in writing.

You may not:

  • Export orders to external shipping platforms

  • Bypass bCommerce shipping labels

  • Use third-party fulfillment systems

without written authorization.

This ensures:

  • Real-time inventory accuracy

  • Carrier rate optimization

  • Fraud prevention

  • Platform-wide performance data

4. Freedom 18 Promotional Program

4.1 Free Software Period

All eligible customers receive six (6) months of bCommerce software access at no charge

beginning on the activation date.

4.2 Performance Extension

If Customer processes at least $5,000 USD in gross sales in any single month during the first

six (6) months, Customer automatically unlocks an additional twelve (12) months of free

bCommerce software.

This creates a total potential promotional period of 18 months free.

4.3 Failure to Qualify

If Customer does not process $5,000 in any month during the first six (6) months, Customer’s

account converts to paid status automatically:

Freedom 18 – Wholesale Distributors

Billing begins on the first day of month seven (7).

Monthly Fee

$40 per month

$450 per month

4.4 Pricing Lock

All Customers who enroll in Freedom 18 permanently lock in their pricing tier that is in effect at

the time of activation.

5. Fees & Payment Authorization

You authorize bCommerce and bPayments to:

  • Debit subscription fees

  • Deduct transaction fees

  • Collect shipping, carrier, and fulfillment charges

  • Apply reserves or chargebacks

from your connected bank account or payment method.

Failure to pay may result in account suspension, data restriction, or termination.

6. Data, Analytics & Marketplace Use

You grant bCommerce the right to:

  • Analyze sales data

  • Benchmark performance

  • Aggregate anonymized merchant data

  • Use transaction data to improve pricing, fulfillment, and advertising systems

This data may be used to optimize the bCommerce marketplace, fulfillment network,

and advertising engine (bVisible).

7. Acceptable Use

You may not use bCommerce for:

  • Fraud

  • Counterfeit goods

  • Restricted or illegal products

  • Chargeback abuse

  • Payment laundering

  • Data scraping

  • Circumventing bPayments or 3BL

Violation results in immediate termination.

8. Intellectual Property

bCommerce owns:

  • The platform

  • Software

  • APIs

  • Data structures

  • Workflow engines

  • Automation systems

  • Fulfillment logic

  • Financial engines

You receive a license — not ownership.

9. Termination

bCommerce may suspend or terminate your account at any time for:

  • Non-payment

  • Policy violations

  • Risk, fraud, or chargeback exposure

  • Bypassing bPayments or 3BL

  • Automation systems

Upon termination, access to the platform and data may be limited or deleted.

10. Limitation of Liability

bCommerce is not liable for:

  • Lost profits

  • Lost data

  • Shipping delays

  • Carrier errors

  • Payment processor actions

  • Merchant business outcomes

Use of the platform is at your own risk.

11. Governing Law

This Agreement shall be governed by the laws of the State of Delaware, without regard to

conflict-of-law rules.

12. Entire Agreement

This Agreement supersedes all prior agreements and communications regarding bCommerce.
